02Scope

These B2B Terms and Conditions apply to paid services ordered through or in connection with BigEvent.

BigEvent's paid services are exclusively intended for customers acting for purposes relating to their trade, business, organisation or professional activity.

They are not intended for consumers.

By placing an order, the customer confirms that:

  • it is acting for professional purposes;
  • the person placing the order has authority to bind the customer;
  • the information supplied is accurate;
  • it accepts these Terms and Conditions without reservation.

These Terms and Conditions take precedence over any conflicting customer purchasing terms unless LINKUB expressly agrees otherwise in writing.

03Services

BigEvent may offer services including:

  • publication of an event;
  • enhanced or featured event placement;
  • additional visibility;
  • editorial or promotional presentation;
  • other professional promotional services described on the website, in an order form or in a written quotation.

The exact scope, duration, placement and price of a service are those displayed or agreed when the order is placed.

Unless expressly agreed otherwise, LINKUB does not guarantee:

  • a specific number of page views;
  • registrations, ticket sales or leads;
  • a particular search-engine position;
  • a specific commercial result;
  • continuous placement in one exact position;
  • publication by a particular third-party service.

04Event submission

The customer must provide the information reasonably required to deliver the service.

This may include:

  • event name;
  • organiser identity;
  • dates and times;
  • location;
  • event description;
  • category;
  • website or registration link;
  • images, illustrations or logos;
  • billing information.

The customer is responsible for ensuring that all submitted information is accurate, complete and current.

LINKUB may request corrections, clarification or replacement material before publication.

A delay caused by missing, incorrect or unsuitable information does not entitle the customer to a refund.

05Order process

An order becomes binding when one of the following occurs:

  • online payment is confirmed;
  • LINKUB confirms the order by email;
  • the customer accepts a quotation or order form;
  • LINKUB begins providing the service at the customer's request.

Before confirming an online order, the customer must be able to review the selected service and correct material errors.

LINKUB may reject or cancel an order where:

  • the requested service cannot reasonably be provided;
  • the event or content does not fit BigEvent's editorial scope;
  • the content appears unlawful, misleading or harmful;
  • the customer has outstanding unpaid invoices;
  • there is a suspected fraud, technical error or pricing error.

If LINKUB cancels a fully prepaid order before beginning the service for a reason not attributable to the customer, the corresponding amount will be refunded.

06Prices

Prices are stated in the currency shown at the time of the order.

Unless expressly stated otherwise:

  • prices are exclusive of VAT and other applicable taxes;
  • applicable VAT is added at the rate legally in force;
  • the price relates only to the service specifically described;
  • additional work or services require a separate agreement.

LINKUB may change its prices at any time. A price change does not affect an order already accepted.

Any obvious pricing or technical error may be corrected. If an error affects an existing order, the customer may accept the corrected price or cancel the affected order and receive a refund of any corresponding amount already paid.

07Payment

Unless a quotation, invoice or order form states otherwise, payment is due in full when the order is placed and before publication begins.

Payment may be made using the methods displayed during checkout or stated on the invoice.

The customer is responsible for providing complete and accurate billing information.

No discount is granted for early payment unless expressly stated in writing.

LINKUB may suspend or delay the service until payment has been received.

08Late payment

Where an invoice is not paid by its due date, late-payment interest becomes payable automatically, without any prior reminder.

The applicable annual rate is the interest rate applied by the European Central Bank to its most recent main refinancing operation, increased by 10 percentage points.

The rate may not be lower than three times the applicable French statutory interest rate.

For each invoice paid late, the customer must also pay the statutory fixed recovery charge of €40.

Where the actual recovery costs exceed €40, LINKUB may request additional reasonable compensation upon providing supporting evidence.

LINKUB may also suspend ongoing services and refuse new orders until all overdue amounts have been paid.

09Publication timetable

Any publication date communicated by LINKUB is an estimate unless expressly confirmed as a binding deadline in writing.

The publication timetable begins only after LINKUB has received:

  • the required information and materials;
  • any necessary validation;
  • full payment where payment is due in advance.

LINKUB is not responsible for delays caused by:

  • incomplete or inaccurate customer information;
  • late validation by the customer;
  • replacement of unsuitable materials;
  • technical incidents outside LINKUB's reasonable control;
  • a force majeure event.

10Duration of publication

The duration of publication or promotional placement is the duration stated in the selected offer, order confirmation, quotation or invoice.

Once the agreed publication period has ended, LINKUB may:

  • remove the enhanced placement;
  • return the event to a standard listing;
  • archive the event;
  • remove expired or obsolete event information.

Unless expressly stated otherwise, paid services do not renew automatically.

11Customer validation

LINKUB may provide a preview or request validation before publication.

The customer must report material errors within the period stated in the relevant communication.

If no response is received within that period, LINKUB may publish the content using the information supplied by the customer.

Minor formatting, layout or editorial adjustments that do not materially change the meaning of the content do not require prior approval.

12Editorial control

BigEvent retains editorial and technical control over its platform.

LINKUB may:

  • correct spelling or formatting;
  • shorten or restructure content for display;
  • assign categories or tags;
  • resize or crop images;
  • change page layouts;
  • adjust the location of promotional placements;
  • refuse elements that do not meet technical or editorial requirements.

LINKUB will not intentionally make a material factual change to the event without a reasonable basis.

13Prohibited content

The customer must not submit content that:

  • is unlawful or fraudulent;
  • is false or materially misleading;
  • infringes intellectual-property, privacy or publicity rights;
  • is defamatory, threatening or discriminatory;
  • promotes hatred, violence or illegal activity;
  • contains malicious software or harmful links;
  • impersonates another person or organisation;
  • advertises an event that the customer is not authorised to promote;
  • breaches advertising, competition, consumer or professional rules;
  • is unrelated to BigEvent's purpose;
  • could reasonably damage BigEvent, LINKUB, users or third parties.

LINKUB may refuse, suspend or remove prohibited content without prior notice.

14Customer warranties

The customer warrants that:

  • it has authority to place the order;
  • all information supplied is accurate and lawful;
  • it holds all necessary rights and permissions for submitted content;
  • publication by BigEvent will not infringe third-party rights;
  • it complies with laws applicable to the event and its promotion;
  • all required notices, authorisations and consents have been obtained;
  • registration, ticketing and payment arrangements offered by the organiser comply with applicable law.

The customer must promptly inform LINKUB of any cancellation, postponement, change or legal issue affecting the event.

15Licence to submitted content

The customer retains ownership of its content.

The customer grants LINKUB a non-exclusive, worldwide, royalty-free licence for the time reasonably necessary to:

  • host and display the content on BigEvent;
  • format, resize, crop and technically adapt it;
  • promote the event and BigEvent;
  • display excerpts or visuals through BigEvent's communication channels;
  • keep reasonable archival, backup and evidentiary copies.

The customer confirms that it has authority to grant this licence.

The licence ends when the content is no longer reasonably required for these purposes, subject to legal archives, backups and materials already published through external communication channels.

16Cancellation by the customer

Because BigEvent's services are supplied to professional customers, no consumer right of withdrawal applies.

Unless LINKUB expressly agrees otherwise:

  • an order cancelled before work begins may be refunded;
  • an order cancelled after preparation, review, publication or promotional work has begun is not refundable;
  • an order is not refundable because an event receives fewer visits, registrations or sales than expected;
  • cancellation, postponement or alteration of the customer's event does not automatically create a right to a refund.

LINKUB may, at its discretion, offer a publication credit, change of date or transfer to another event.

17Cancellation or suspension by LINKUB

LINKUB may suspend or cancel a service where:

  • payment is overdue;
  • the customer breaches these Terms and Conditions;
  • the submitted content is unlawful or prohibited;
  • publication creates a legal, technical, security or reputational risk;
  • the event appears fraudulent or materially misleading;
  • continuing the service is impossible for reasons outside LINKUB's reasonable control.

Where the suspension or cancellation results from the customer's breach, amounts already paid are not refundable, without prejudice to LINKUB's right to claim compensation for any loss suffered.

18Corrections and event changes

The customer must promptly notify LINKUB of material event changes.

Reasonable minor corrections may be made without additional charge during the publication period.

LINKUB may charge an additional fee where a request requires substantial rewriting, redesign, repeated intervention or replacement of the original event with a different event.

Any additional fee will be communicated before the additional work begins.

19Third-party services

BigEvent may contain links to:

  • event organiser websites;
  • ticketing systems;
  • registration platforms;
  • venues;
  • social networks;
  • other external services.

LINKUB is not a party to transactions between visitors and these third parties.

LINKUB is not responsible for:

  • ticketing;
  • registration;
  • payment processing by the organiser;
  • event admission;
  • refunds owed by an organiser;
  • event quality or safety;
  • third-party website availability;
  • third-party terms or privacy practices.

20Service availability

LINKUB seeks to keep BigEvent reasonably available but does not guarantee uninterrupted or error-free access.

The website may be unavailable because of:

  • maintenance;
  • updates;
  • hosting incidents;
  • security measures;
  • network failures;
  • third-party provider failures;
  • events outside LINKUB's reasonable control.

LINKUB may change, suspend or discontinue a website feature where reasonably necessary.

21Liability

Each party is liable for direct loss caused by its proven breach of these Terms and Conditions.

To the fullest extent permitted by law, LINKUB is not liable for:

  • indirect or consequential loss;
  • loss of profit, revenue, opportunity or anticipated savings;
  • reputational harm;
  • loss or corruption of data;
  • insufficient attendance, registrations, leads or ticket sales;
  • an event's cancellation, postponement, quality or outcome;
  • information or content supplied by the customer or a third party;
  • failures of external websites or services.

Except in cases where liability cannot legally be limited, LINKUB's total aggregate liability arising from a specific order is limited to the amount excluding tax actually paid by the customer for that order.

This limitation does not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

22Indemnification

The customer must compensate LINKUB for direct losses, claims, costs and reasonable professional fees resulting from:

  • unlawful or infringing content supplied by the customer;
  • inaccurate or misleading event information;
  • the customer's breach of its warranties;
  • a claim by a third party relating to the customer's event, content or activities;
  • the customer's failure to obtain necessary rights, permissions or authorisations.

LINKUB must inform the customer of the relevant claim and allow reasonable participation in its defence, where appropriate.

23Personal data

Each party must comply with the data-protection laws applicable to its own processing activities.

LINKUB processes personal data in accordance with BigEvent's Privacy Policy.

Where a customer supplies personal data relating to speakers, representatives, employees or other individuals, the customer confirms that:

  • it is authorised to provide that information;
  • the information is relevant and not excessive;
  • the individuals have received any legally required information.

The customer must not submit sensitive or unnecessary personal data for publication.

24Confidentiality

Each party must protect confidential business information received from the other party and use it only for the purpose of the commercial relationship.

This obligation does not apply to information that:

  • is already public without breach;
  • was lawfully known before disclosure;
  • is lawfully obtained from another source;
  • must be disclosed by law or a competent authority.

Public event information and content intended for publication are not confidential.

25Force majeure

Neither party is responsible for delay or failure caused by an event beyond its reasonable control, including:

  • natural disasters;
  • fire or flood;
  • epidemic or public-health restrictions;
  • war, terrorism or civil disorder;
  • widespread internet or power failure;
  • hosting or telecommunications failure;
  • government action;
  • labour disputes outside the affected party;
  • cyberattacks that could not reasonably have been prevented.

The affected party must inform the other party within a reasonable period.

If the event continues for more than 30 days and substantially prevents performance, either party may terminate the affected service without liability for future performance.

26Evidence

Electronic records, emails, order confirmations, payment records, technical logs and data stored through LINKUB's systems may be used as evidence of communications, orders and transactions, subject to applicable law.

27Assignment and subcontracting

The customer may not transfer an order or its rights under these Terms and Conditions without LINKUB's prior written consent.

LINKUB may use subcontractors to provide hosting, payment, technical, editorial or administrative services.

LINKUB remains responsible for its contractual obligations to the extent required by law.

28Changes to these Terms and Conditions

The Terms and Conditions applicable to an order are those accepted when the order is placed.

LINKUB may update these Terms and Conditions for future orders.

Material changes affecting an existing ongoing service will not apply retroactively unless:

  • required by law;
  • necessary for security;
  • agreed with the customer.

29Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in effect.

The invalid provision will be replaced or interpreted, where possible, in a way that most closely reflects its original lawful commercial purpose.

30No waiver

A failure or delay in exercising a contractual right does not amount to a waiver of that right.

31Entire agreement

The accepted order, any relevant quotation or order form, these Terms and Conditions and any expressly incorporated document form the entire agreement relating to the purchased service.

In case of conflict, the following order of priority applies:

  1. a specifically negotiated and signed agreement;
  2. the accepted quotation or order form;
  3. these Terms and Conditions;
  4. information displayed generally on the website.

32Governing law

These Terms and Conditions and all orders are governed by French law.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

33Disputes and jurisdiction

The parties will first attempt to resolve any dispute through good-faith discussions.

Unless mandatory law requires otherwise, any dispute concerning the validity, interpretation, performance or termination of these Terms and Conditions falls within the exclusive jurisdiction of the competent courts of Rouen, France, including in cases involving multiple defendants or third-party proceedings.
